| Application Requirements | The candidate must fulfil the conditions for candidacy for membership of the Board of Directors mentioned in the relevant laws and regulations and the general conditions for membership of the Board of Directors of the company. And that he is committed to fulfilling the following: Written Notification to the Company of stating that his desires for nomination. Fill out and Submit form No (1) Issued from CMA for CV in both Arabic and English language. (Attached). Fill out and submit form No. (3) Issued from CMA (Attached) . Shall not be a board member of more than five joint stock companies listed in the Saudi Capital Market at the same time. In the case of the candidate is willing to be designated as an independent member, he must avoid the conflict of interest cases in accordance with the rules and regulations of the Capital Market Authority. Shall disclose to the Board of Directors and to the General Assembly any cases of conflict of interest according to the procedures specified by the regulations. If the nominee was previously hold a member of the Board of Directors of Fesh Fash Snack Food Production Co., his application must be accompanied with a statement from the company for the last session of his membership includes the following information: 1) Number of meetings that has been held during each year of session, and the number of meetings attended by the candidate on his behalf and the percentage of his attendance. 2) Committees which he was a member therein, and the number of meetings held by each of the committees during each year of the session. 3) Summary of the financial results achieved by the company during each year of the session.
